The Megha AI Model may run locally within the Software or, if you subscribe, through MeghaOS Pro, our hosted cloud service. TheSite provides information, downloads, and account access. Product-specific terms appear in Sections 4 through 8; general terms apply to all Products.
3. Eligibility and Accounts
You must be at least 13 years old to use the Services, and at least the age of majority in your jurisdiction to enter into a paid subscription. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, in which case “you” refers to that organization.
Where an account is required (for example, for MeghaOS Pro), you agree to provide accurate, current, and complete information, to keep it up to date, and to keep your password confidential. You are responsible for all activity under your account and must notify us promptly at info@meghaos.ai of any unauthorized use or suspected security breach. You may not share your account, impersonate others, or create an account using false information.
4. License to the Software
Subject to your compliance with these Terms, MeghaOS Inc. grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Software for your personal or internal business purposes. All rights not expressly granted are reserved. You may not, and may not permit any third party to: (a) redistribute, resell, sublicense, rent, lease, or host the Software as a service; (b) copy, modify, or create derivative works of the Software except as permitted by applicable open-source licenses; (c) remove, obscure, or alter any proprietary notices; or (d) use the Software in violation of these Terms. We may issue updates, and these Terms apply to all updates unless the update is accompanied by separate terms.
5. Technology Preview Software
The MeghaOS Software is offered as a technology preview under active development. Preview software may contain bugs or errors, may change, be suspended, or be discontinued at any time without notice, and may not offer the reliability, availability, security, or performance of a final release. You use it at your own risk and should not rely on it for high-risk or mission-critical purposes. Because the Software stores Your Content locally on your device, you are solely responsible for maintaining backups of your data, and we are not liable for any loss, corruption, or unavailability of data.
6. The Megha AI Model and AI Output
Nature of AI output. AI features are probabilistic and may produce output that is inaccurate, incomplete, offensive, or otherwise unsuitable. Output may not be unique and similar output may be generated for other users. You are responsible for evaluating Output and verifying it before relying on or using it, and you must not rely on Output as a substitute for professional, legal, medical, financial, or other qualified advice.
Ownership of Output. As between you and MeghaOS, and to the extent permitted by law, you own the Output generated from Your Content, and you are responsible for it, including for ensuring it does not violate these Terms or any law or third-party right.
Restrictions. You may not use the Megha AI Model or any AI feature to: generate unlawful, harmful, or infringing content; facilitate cyberattacks or malware; create deceptive deepfakes or impersonate others; generate content that sexually exploits or endangers minors; or reverse-engineer, extract, distill, or reproduce the model weights, or use Output to train a competing model.
7. Integrations and Device Access
The Software can connect to third-party services (for example, calendar, email, messaging, social, code hosting, and web search) and can access device capabilities (for example, files, screen, camera, microphone, network, Bluetooth, and system controls) only when you enable them. You are responsible for: (a) having the right and any necessary consents to connect any account, credential, or data you provide; (b) your use of each third-party service, which is governed by that service’s own terms and privacy policy; and (c) directing the Software lawfully and only within the permissions you grant through your operating system. Third-party services are provided by their respective operators, and MeghaOS Inc. is not responsible for them or for actions you instruct the Software to take on your behalf.
8. MeghaOS Pro: Subscriptions, Billing, and Auto-Renewal
Plans. MeghaOS Pro is offered on a paid subscription basis across different plan tiers, each with its own price, features, and usage limits, as described at the point of purchase.
Payment authorization. Payments are processed by our third-party payment processor, Stripe. By subscribing, you authorize us, through Stripe, to charge your designated payment method for the applicable fees, and you represent that you are authorized to use that payment method. You are responsible for keeping your payment information current.
Automatic renewal and cancellation. Unless otherwise stated, subscriptions renew automatically at the end of each billing period (for example, monthly) at the then-current price, until you cancel. You may cancel at any time through the billing portal; cancellation takes effect at the end of the current billing period, and you will retain access until then. To avoid the next charge, cancel before the renewal date.
Refunds. Except where required by law, fees already paid and usage already consumed are non-refundable, and we do not provide prorated refunds for partial billing periods or unused capacity.
Taxes. Stated prices do not include taxes. You are responsible for any sales, use, VAT, or similar taxes, which may be added to your charges where required.
Failed payments and chargebacks. If a payment fails or is reversed, we may suspend or terminate your subscription and access. Initiating a chargeback without first contacting us to resolve the issue is a breach of these Terms.
Price and plan changes. We may change prices, plan features, or usage limits on a prospective basis. We will give reasonable advance notice of a price increase that would affect your renewal, and the change will take effect at your next renewal unless you cancel first.
Usage limits and access. Each plan includes usage limits (for example, on AI requests or consumption). We may throttle, suspend, or require an upgrade if you exceed your plan’s limits, and we may suspend access for non-payment. Access to the cloud AI service is authenticated with a secret key tied to your account and issued only to active subscribers; the MeghaOS application stores and manages this key for you. We may revoke or rotate it if we detect misuse, and you remain responsible for activity under your account.
9. Acceptable Use
You agree not to misuse the Services. In particular, you will not:
- Use the Services in violation of any applicable law or regulation, or to infringe the intellectual property, privacy, or other rights of others.
- Attempt to gain unauthorized access to, disrupt, degrade, or interfere with the Services, our systems, or the systems or networks of others.
- Circumvent, disable, or bypass security or usage-limiting features, or exceed, evade, or attempt to circumvent MeghaOS Pro usage limits, rate limits, or plan quotas.
- Reverse engineer, decompile, or disassemble the Software or the AI model, except to the extent this restriction is prohibited by applicable law or permitted by an applicable open-source license.
- Use automated means to scrape or harvest data from the Services without our written permission, or use the Services or Output to build or train a competing product or model.
- Share, resell, or provide unauthorized access to your account, or use the Services to transmit malware, spam, or unlawful content, or to harass, abuse, defraud, or harm any person.
We may investigate suspected violations and cooperate with law enforcement, and we may suspend or terminate access for conduct we reasonably believe violates these Terms or harms the Services or other users.
10. Your Content and Submissions
You retain all rights in Your Content. Content you create and process locally in the Software remains yours and stays on your device; we do not claim any license to it. When you submit information to us directly (for example, through the waitlist form, contact form, or support requests) (“Submissions”), you grant us a non-exclusive, worldwide, royalty-free license to use those Submissions to operate the Services and respond to you. You represent that you own or have the necessary rights to Your Content and Submissions and that they do not violate these Terms or any law or third-party right.
11. Feedback
If you send us suggestions, ideas, or feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate that feedback without restriction or obligation to you.
12. Intellectual Property
Except for third-party and open-source components, Your Content, and your Submissions, the Services and all associated software, designs, text, graphics, and the MeghaOS and Megha names and logos (the “Marks”) are owned by or licensed to MeghaOS Inc. and are protected by copyright, trademark, and other laws. These Terms grant you no right to use the Marks without our prior written consent.
13. Third-Party and Open-Source Components
The Services incorporate open-source and third-party components, each licensed under its own terms, which control in the event of a conflict with these Terms as to that component. Our macOS application is distributed as an Apple-notarized build and is subject to Apple’s applicable policies. MeghaOS Pro relies on third-party providers, includingGoogle Firebase (authentication and data), Stripe(payments), and a third-party cloud AI provider (AI inference); when you use MeghaOS Pro, the prompts you submit are processed by our cloud AI provider only to generate responses and are not retained or used to train models. Your use of these third parties is also governed by their respective terms and privacy policies.
14. Privacy
Our collection and use of personal information is described in ourPrivacy Policy, which explains, on a per-Product basis, what we collect, where it is stored, and with whom it is shared. By using the Services, you acknowledge the practices described there.
15. Export Controls and Sanctions
You must comply with all applicable export-control and economic-sanctions laws. You represent that you are not located in, and will not use the Services from, a country or region subject to comprehensive U.S. sanctions, and that you are not on any U.S. government restricted-party list. You may not export, re-export, or use the Services in violation of these laws.
16. Copyright Complaints

If you believe content on the Services infringes your copyright, contact us at info@meghaos.ai with sufficient detail to identify the work and the allegedly infringing material. We may remove infringing content and terminate repeat infringers.
17. Disclaimer of Warranties

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
19. Indemnification
You agree to defend, indemnify, and hold harmless MeghaOS Inc. and its affiliates, officers, agents, and employees from any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to your use of the Services, Your Content, your Submissions, your violation of these Terms, or your violation of any law or the rights of a third party.

These Terms apply while you use the Services. You may stop using the Services at any time, and you may cancel a subscription as described in Section 8. We may suspend or terminate your access, in whole or in part, at any time, with or without notice, if we reasonably believe you have violated these Terms, to comply with law, or to protect the Services or other users. Upon termination, your license to the Software ends and you must stop using it. 22. Changes to the Services and Terms
We may modify, suspend, or discontinue any part of the Services at any time. We may also update these Terms from time to time; when we do, we will revise the “Last Updated” date above and, for material changes, provide a more prominent notice. Changes are effective when posted, and your continued use of the Services after they take effect constitutes acceptance of the revised Terms. If you do not agree to a change, you must stop using the Services.
